1. Introduction

These Terms and Conditions (“Terms”) govern access to and use of Message Flow (the “Platform”), operated by FareFlow Ltd, a company registered in New Zealand (“we”, “us”, “our”).

By creating an account or using the Platform, you agree to be bound by these Terms.

If you do not agree, you must not use the Platform.


2. Eligibility

The Platform is intended for business use only.

You must:

  • Be at least 18 years of age; or
  • Be authorised by your employer or business to use the Platform

You represent that you have authority to bind the business you represent to these Terms.


3. Description of Services

Message Flow is a business messaging platform that enables customers to send and receive SMS and WhatsApp messages through integrated third-party providers.

We provide access to the Platform; we do not provide telecommunications services directly.


4. Account Registration

To use the Platform, you must create an account and provide accurate information, including:

  • Name
  • Email
  • Company name
  • Contact details

You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activity under your account

We may suspend or terminate accounts that provide inaccurate information.


5. Fees and Payment

5.1 Pricing Model

The Platform may offer:

  • Monthly subscription plans
  • Pay-as-you-go usage (including credit or wallet-based billing)
  • Or a combination of both

All fees are exclusive of taxes unless stated otherwise.


5.2 Payment Processing

Payments are processed by third-party payment providers (e.g., Stripe). By subscribing, you authorise recurring charges where applicable.


5.3 No Refunds

All payments are non-refundable unless required by applicable law.


5.4 Non-Payment

We may suspend or terminate your access immediately if payment is overdue.


6. Acceptable Use

You agree not to use the Platform to:

  • Send unsolicited or unlawful messages
  • Send spam or bulk messages in violation of applicable law
  • Transmit harmful, fraudulent, defamatory, or illegal content
  • Violate the terms of any integrated messaging provider (including Meta or SMS providers)
  • Infringe intellectual property rights
  • Distribute malware or harmful code

You are solely responsible for:

  • The content of messages sent via the Platform
  • Compliance with applicable messaging, privacy, and anti-spam laws

We reserve the right to suspend accounts for suspected misuse or abuse without notice.


7. Third-Party Services

The Platform integrates with third-party providers including but not limited to:

  • SMS delivery providers
  • WhatsApp (Meta Cloud API)
  • Payment processors
  • Hosting infrastructure

We are not responsible for outages, delays, suspensions, or actions taken by third-party providers.

Your use of those services may also be subject to their separate terms.


8. Data Ownership

You retain ownership of:

  • Message content
  • Contact lists
  • Uploaded data

We do not claim ownership of your data.

You grant us a limited licence to process and store your data solely for the purpose of providing the Platform.


9. Use of Aggregated Data

We may use anonymised and aggregated usage data to:

  • Improve the Platform
  • Analyse system performance
  • Develop new features

This data will not identify you or your customers.


10. Service Availability

We will use commercially reasonable efforts to maintain Platform availability.

However, we do not guarantee:

  • Continuous or uninterrupted service
  • Error-free operation
  • Specific uptime levels

The Platform may be temporarily unavailable due to maintenance, third-party outages, or circumstances beyond our control.


11. Suspension and Termination

We may suspend or terminate your account at our discretion, including but not limited to:

  • Non-payment
  • Breach of these Terms
  • Suspected abuse or unlawful activity

Upon termination:

  • Access to the Platform will cease
  • We may delete stored data at our discretion

We are not liable for data loss following termination.


12. Limitation of Liability

To the maximum extent permitted by law:

  • Our total liability arising out of or related to the Platform is limited to the total fees paid by you in the twelve (12) months preceding the claim.
  • We are not liable for indirect, incidental, consequential, special, or punitive damages.
  • We are not liable for lost profits, lost revenue, lost data, or business interruption.

You use the Platform at your own risk.


13. Indemnification

You agree to indemnify and hold harmless Message Flow from any claims, damages, liabilities, or expenses arising from:

  • Your misuse of the Platform
  • Your violation of applicable laws
  • The content of messages sent through your account

14. Compliance With Laws

You are responsible for complying with all applicable:

  • Privacy laws
  • Anti-spam regulations
  • Telecommunications laws
  • Consumer protection laws

Including laws in the jurisdictions where your recipients are located.


15. Governing Law

These Terms are governed by the laws of New Zealand.

Any disputes shall be subject to the exclusive jurisdiction of the courts of New Zealand.


16. Changes to These Terms

We may update these Terms from time to time.

Continued use of the Platform after updates constitutes acceptance of the revised Terms.
